Terms & Conditions
These Terms & Conditions govern your use of the InterMission service and Web Site. By using, visiting, or browsing the InterMission Web site, you accept and agree to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, you should not use the InterMission service or Web site. These Terms & Conditions are an ongoing contract between you and InterMission and apply to your use of the InterMission service and Web site. These Terms & Conditions affect your rights and you should read them carefully. Changes to Terms & Conditions www.InterMission.org, Inc., reserves the right, from time to time, with or without notice to you, to change these Terms & Conditions in our sole and absolute discretion. You may review the most current version of these Terms & Conditions by clicking on the "Terms & Conditions" located at the bottom of the pages of the InterMission Web site. The most current version of the Terms & Conditions will supersede all previous versions. Your use of the InterMission Web site or continued use of our service after changes are made means that you agree to be bound by such changes. Privacy Any information submitted on the InterMission Web site is subject to our Privacy Policy, the terms of which are incorporated herein. Please review our Privacy Policy to understand our practices. How Our Service Works InterMission is an online movie rental service that provides members with access to a library of DVDs on a variety of sustainability topics such as energy conservation, environmental stewardship, peak oil, sustainable agricultural, building and industrial practices, etc. Members select and rent the movies they wish to view, receive them on DVD by U.S. mail and return them using prepaid mailers. The rental period for all DVDS is 30 days and DVDs are due back to InterMission within 30 days of the date they ship from our warehouse. Members will be charged the sale price of the DVD minus rental fees for all DVDs that are not returned within the 30-day rental period. Each DVD also comes with a hosting kit and participant discussion guide that can serve as guidelines for members who want to host their own house parties and initiate local conversations and action plans around sustainability topics. These guides are yours to keep for both DVD sales and rentals. Email invitation services may be used solely for the purposes of inviting community members to InterMission DVD movie screening house parties. You agree not to harvest or collect email addresses or other contact information from InterMission or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications. Federal Copyright Restrictions & General Film Usage If you plan a screening event outside your home, please be aware that you will be required to obtain a public performance license. Please read each movies screening terms & conditions carefully before planning a public event outside your home. In many cases, InterMission has negotiated a free license for screenings of under 60 people for our members. Otherwise, public performance licenses can be purchased directly from Inter Mission on a case-by-case basis. Federal law states that to perform or display a work “publicly” means — to perform or display it at a place open to the public or at any place where a substantial number of persons outside of a normal circle of a family and its social acquaintances is gathered. Owning the video or DVD does not by itself entitle you to screen it publicly – the license terms on an ordinary commercial video or DVD usually say it is for “private home use only”. Whether or not you charge a fee does not change whether it is a public performance or not. Screening a film in a home study group as a group of friends would watch a video in a private home is unlikely to be a ‘public performance’ for copyright purposes. Restaurants, prisons, summer camps, public libraries, day-care facilities, parks and recreation departments, churches, and non-classroom use at schools and universities are all examples of screenings where a public performance license must be obtained. This legal requirement applies regardless of whether an admission fee is charged, whether the institution or organization is commercial or non-profit, or whether a federal or state agency is involved. Businesses, institutions, organizations, companies or individuals wishing to engage in non-home showings of home videocassettes or DVDs must secure licenses to do so - regardless of whether an admission or other fee is charged (Section 501). This legal requirement applies equally to profit-making organizations and non-profit institutions (Senate Report No. 94-473, page 59; House Report No. 94-1476, page 62). You agree not to hold InterMission responsible or liable in any manner for any infringement of Federal Copyright Laws governing General Film Usage for movie screenings organized by you through the Site or independently of InterMission services. Member Conduct You understand that InterMission Services and the Site are available for your personal, non-commercial use only. You represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on the InterMission site will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. In addition, you agree not to use the Site to: • harvest or collect email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications; • use automated scripts to collect information from or otherwise interact with the Service or the Site; • upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable; • solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes; • intimidate or harass another; • use or attempt to use another's account, service or system without authorization from the Company, or create a false identity on the Service or the Site. • upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of Company, is objectionable or which restricts or inhibits any other person from using or enjoying the Site, or which may expose Company or its users to any harm or liability of any type. Content and Interaction You agree to comply with the license and restrictions applicable to each DVD you rent or purchase. Additionally content from other users is made available to you through the InterMission forums platform. Because InterMission does not control such Content, you agree that Intermission is not responsible for any such Content, including advertising and information about third party products or services. Your interactions with other Users on the on the InterMission forums, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the User. Like with any web-based interaction, we suggest that you use caution and good judgment. You agree that InterMission is not responsible for any loss or damage incurred as the result of any such dealings or with respect to any other User's use or disclosure of your Personal Data (as defined in the Privacy Policy). If there is a dispute between you and any third party (including any User), InterMission is under no obligation to become involved. You release InterMission, its officers, employees, agents and successors from claims, demands and damages of every kind or nature arising out of or related to: (i) any disputes with other Users, and/or (ii) the InterMission Platform. Disclaimer InterMission is not responsible or liable in any manner for any User Content or Third Party Applications, Software or Content posted on the Site or in connection with the Service, whether posted or caused by users of the Site, by InterMission, by third parties or by any of the equipment or programming associated with or utilized in the Site or the Service. Although we provide rules for user conduct and postings, we do not control and are not responsible for what users post, transmit or share on the Site and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or Third Party Applications, Software or Content. InterMission is not responsible for the conduct, whether online or offline, of any user of the Site or Service. InterMission reserves the right to change any and all content, software and other items used or contained in the Site and any Services and Platform Applications offered through the Site at any time without notice. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by Company. Limitation on Liability IN NO EVENT WILL INTERMISSION OR ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SITE OR THE SERVICE, ANY PLATFORM APPLICATIONS OR ANY OF THE SITE CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM THE SITE, EVEN IF THE INTERMISSION IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, INTERMISSION'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO INTERMISSION FOR THE SERVICE DURING THE TERM OF MEMBERSHIP, BUT IN NO CASE WILL THE COMPANY'S LIABILITY TO YOU EXCEED $1000. YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID TO COMPANY FOR THE SERVICE, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM COMPANY, REGARDLESS OF THE CAUSE OF ACTION. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. Termination InterMission may terminate your membership, delete your profile and any content or information that you have posted on the Site or through any Platform Application and/or prohibit you from using or accessing the Service or the Site or any Platform Application (or any portion, aspect or feature of the Service or the Site or any Platform Application) for any reason, or no reason, at any time in its sole discretion, with or without notice, including without limitation if it believes that you are under 13, or under 18 and not in high school or college. Indemnity You agree to indemnify and hold InterMission and its affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any User Content, any Third Party Applications, Software or Content you post or share on or through the Site, your use of the Service or the Site, your conduct in connection with the Service or the Site or with other users of the Service or the Site, or any violation of this Agreement or of any law or the rights of any third party. Submissions You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site or the Service ("Submissions"), provided by you to InterMission are non-confidential and shall become the sole property of InterMission. InterMission shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. Other These Terms of Use constitute the entire agreement between you and Company regarding the use of the Site and/or the Service, superseding any prior agreements between you and Company relating to your use of the Site or the Service. The failure of Company to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. If any provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
